ComOps Completes AWS Acquisition

ComOps, a leading Australian provider of business software products and services, is pleased to announce that it has signed a share purchase agreement completing the acquisition of Australian Workplace Software Pty Ltd (AWS).

Sydney based AWS is a specialist provider of Workplace Health and Safety and Risk Management software solutions and related services, and has a blue chip customer base that includes clients such as the Queensland Government, Electrolux, Sensis and DP World (formerly P&O Ports).

AWS is a Microsoft Certified Partner and its applications are all developed using the latest Microsoft .NET technologies. The founders of AWS, Mr Moshe Woods and Mr Peter Morris, will remain with the Company on management agreements which include incentive-based payments as part of the consideration for the purchase of the AWS business.

The purchase price will be determined by a multiple of three times the net profit after tax of the AWS business for the next four years and will be payable as a combination of cash and escrowed shares.

By being part of the ComOps Group and benefiting from additional sales, marketing and management expertise coupled with other revenue synergy benefits, it is anticipated that the AWS business will demonstrate ongoing growth in revenue and profitability moving forward.

The ComOps Board of Directors is enthusiastic about the AWS acquisition, especially about adding additional blue chip customers to ComOps’ already impressive client list. The AWS acquisition will sit under the ComOps Human Capital Management business pillar, which also includes two recent additions to the ComOps Group, Microster Solutions Pty Ltd and Human Capital Solutions Group Pty Ltd.
