Yahoo! rips into 'ludicrous, absurd' Microsoft/Icahn offer

Yahoo! shareholders closely associated with the company may take a more emotional view, but for most it's all about the money. If they think the short-term benefits of selling the search business outweigh the long-term prospects of improved profits after continuing as an integrated and independent business, they'll vote for Icahn's slate.

The danger for the board is that institutional investors may go for the short-term gain to offset poor performance in other parts of the market.
