In language that reminds me of the "Friends, Romans, countrymen" speech from Julius Caesar, Yahoo! describes Microsoft as "a well respected and successful company", then goes on to suggest that it either "Microsoft can't decide what is and isn't strategically important to its online business; or Microsoft is more interested in destabilizing a key competitor so that it can either enhance its competitive position or buy our highly valuable search business - and the enormously desirable intellectual property associated with it - at a bargain basement price." But most of Yahoo!'s ire is aimed at Icahn, who is is described as "a corporate agitator" looking for a quick deal that will turn a profit on his estimated $US25 per share investment in Yahoo!, even if it does not deliver full and fair value to stockholders in general. I previously wrote "if the Icahn team is chosen, Microsoft would presumably have the upper hand in negotiations - the Yahoo! board would be practically committed to selling the search operation, and might feel obliged to accept a more modest valuation than would be necessary to satisfy the current board." The Yahoo! leaders have come to much the same conclusion, telling stockholders "Icahn has made it clear that his only objective is to sell part or all of Yahoo! to Microsoft. That fact, combined with his lack of an operating plan going forward, means that he will have no leverage to negotiate a fair deal with Microsoft." What else are Bostock and Yang saying about Icahn?
